Terms and Conditions


This agreement applies as between you, the User of this Web Site, and Spilla Ltd, the owner of this Web Site. Your agreement to comply with and be bound by these Terms and Conditions occurs upon your confirmation that you have read and accepted this document. If you do not agree to be bound by these Terms and Conditions, you should stop using the Web Site immediately.

No part of this Web Site is intended to constitute a contractual offer capable of acceptance. Your order constitutes a contractual offer and our acceptance of that offer is deemed to occur upon our sending a dispatch email to you indicating that your order has been fulfilled.

Definitions and Interpretation

In this agreement the following terms shall have the following meanings:
Client Questionnaire means the electronic form the User fills in including any personal Data you provide.
Account means collectively the personal information, Payment information and credentials used by Users to access Paid Content and /or any System on the Web Site. These include, but are not limited to, web-based email, forum, chat facilities, message boards and email links.
Content means any text, graphics, images, audio, video, software, data compilations and any other form of information capable of being stored in a computer that appears on or forms part of this Web Site.
Spilla Ltd means Spilla Ltd AND Becoming Bridal TM or www.becomingbridal.com at 14 St Leonard’s Road, Surbiton, Surrey, KT6 4DE.
Service means collectively any online facilities, tools, services or information that Spilla Ltd makes available through the Web Site either now or in the future.
Payment Information means collectively any orders, dispatch emails, email receipts or similar that may be in hard copy or electronic form.
Premises means our place of business located at 14 St Leonard’s Road, Surbiton, Surrey, KT6 4DE. Web address at www.becomingbridal.com.
System means any online communications infrastructure that Spilla Ltd makes available through the Web Site either now or in the future. This includes, but is not limited to, web-based email, message boards, live chat facilities, forum, and email links.
User/Users means any 3rd party that accesses the Web Site and is not employed by Spilla Ltd and acting in the course of their employment; and
Web Site means the website that you are currently using www.becomingbridal.com and any sub-domains of this site unless expressly excluded by their own terms and conditions.

Age Restrictions

Persons under the age of 18 should use this Web Site only with the supervision of an Adult, being someone over the age of 18. Payment Information must be provided by or with the permission of an Adult, as described above.

Subject to the exceptions in Clause 4 of these Terms and Conditions, all Content included on the Web Site, unless uploaded by Users, including, but not limited to, text, graphics, logos, icons, images, sound clips, video clips, data compilations, page layout, underlying code and software is the property of Spilla Ltd, our affiliates or other relevant 3rd parties. By continuing to use the Web Site you acknowledge that such material is protected by applicable United Kingdom and International intellectual property and other laws.
You may not reproduce, copy, distribute, store or in any fashion re-use material from the Web Site unless otherwise indicated on the Web Site or unless given express written permission to do so by Spilla Ltd.

Third Party Intellectual Property

Unless otherwise expressly indicated, all Intellectual Property rights including, but not limited to, Copy and Trademarks, in product images and descriptions belong to the manufacturers or distributors of such products as may be applicable.
You may not reproduce, copy, distribute, store or in any other fashion re-use such material unless otherwise indicated on the Web Site or unless given express written permission to do so by the relevant manufacturer or supplier.

7.

Use of System

7.1 When using the Client Questionnaire and any other System on the Web Site you should do so in accordance with the following rules:
7.1.1 You must not use obscene or vulgar language
7.1.2 You must not submit Content that is unlawful or otherwise objectionable. This includes, but is not limited to, Content that is abusive, threatening, harassing, defamatory, ageist, sexist or racist
7.1.3 You must not submit Content that may, or is intended to, promote or incite violence
7.1.4 The means by which you identify yourself must not violate these terms of use or any applicable laws
7.1.5 You must not impersonate other people, particularly employees and representatives of Spilla Ltd or our affiliates; and
7.1.6 You must not use our System for unauthorised mass-communication such as “spam” or “junk mail”.
7.2 It is advised that submissions are made using the English language as we may be unable to respond to enquiries submitted in any other languages.
7.3 Spilla Ltd reserves the right to monitor any and all communications made to us, or using our System, and to remove any posted material that contravenes, or may contravene, the provisions in Clause 7.1

8.

Accounts

8.1 In order to purchase Services on this Web Site and to use the System, including but not limited to, forums, chat facilities, or any other interactive facilities on this Web Site, you are required to create an Account which will contain certain personal details and Payment Information which may vary based upon your use of the Web Site. By continuing to use this Web Site you represent and warrant that:
8.1.1 all information you submit is accurate and truthful.
8.1.2 you have permission to submit Payment Information where permission may be required; and
8.1.3 you will keep this information accurate and up-to-date.
Your creation of an Account is further affirmation of your representation and warranty.
8.2 It is recommended that you do not share your Account details, particularly your username and password. Spilla Ltd accepts no liability for any losses or damages incurred as a result of your Account details being shared by you. If you use a shared computer, it is recommended that you do not save your Account details in your internet browser.
8.3 When choosing your username you are required to adhere to the terms set out above in Clause 7. Any failure to do so could result in the suspension and/or deletion of your Account.

9.

Termination and Cancellation

9.1 Either Spilla Ltd or you may terminate your Account. If Spilla Ltd terminates your Account, you will be notified by email and an explanation for the termination provided. Notwithstanding the foregoing, we reserve the right to terminate without giving reasons.
9.2 If Spilla Ltd terminates your Account, any current or pending purchases of Services on your Account WILL be cancelled.
9.3 Spilla Ltd reserves the right to cancel purchases of Services without stating reasons, for any reason prior to processing payment and provision of Services.
9.4 If purchases of Services are cancelled for any reason prior to the Services being made available to you, you will be refunded any monies paid.
9.5 If you terminate your Account any purchases of Services not yet made available to you will be cancelled and you will be refunded any monies paid in relation to those Services.

10.

Services & Pricing

10.1 Spilla Ltd reserves the right to change prices and alter to remove any special offers from time to time and as necessary. All pricing information is reviewed and updated regularly.
10.2 In the event that prices are changed during the period between an order being placed for Services and Spilla Ltd processing that order and taking payment, you will be contacted prior to your order being processed with details of the new price. You will be given the option to cancel the order.
10.3 All prices on the Web Site include VAT.

11.

Provision of Services

11.1 Spilla Ltd will notify you by way of email when the Services are available for you to access. The message will contain details of estimated delivery times in addition to details of your rights and responsibilities as a customer.
11.2 The Services should be made available for you to access within 30 days unless the User agrees with Spilla Ltd to a different period.
11.3 If the Services are NOT made available for you to access within 30 days then you will be refunded monies paid in full unless otherwise agreed between us.
11.4 You are guaranteed by law a 7-day “cooling-off period” following our acceptance of your order by email. If you decide not to use the Services within that time, you can contact us to inform us and we will refund you the monies paid in full. However, if you access the programme within the 7-day cancellation period, you are agreeing to waive the cancellation period and you will no longer be able to cancel for a full refund.

Privacy

Use of the Web Site is also governed by our Privacy Policy, which can be found in full on the Web Site. To view the Privacy Policy, please click on the link above. We draw your attention to the following clauses in particular:
12.1 Any personal Data you submit will be retained by Spilla Ltd as long as you use the Services and Systems provided on the Web Site. Data that you may submit using the Client Questionnaire on this Web Site may be retained for a longer period of up to 5 years.
12.2 We will disclose any personal Data you submit using the Client Questionnaire to our fully qualified expert third parties to help us to provide our Services, and/or with our affiliates and other companies within our group. For this purpose, you give us your consent to submit any personal Data in this way.
12.3 Unless we are obliged or permitted by law to do so, your Data will not be disclosed to third parties other than those referred to above.
12.4 All personal Data is stored securely in accordance with the principles of the Data Protection Act 1998.
12.5 Any or all of the above Data may be required by us from time to time in order to provide you with the best possible service and experience when using our Web Site. Specifically, Data may be used by us for the following reasons:
internal record keeping;
improvement of our products/services;
transmission by email of promotional materials that may be of interest to you;

13.1 Spilla Ltd makes no warranty or representation in relation to any specific results from the use of our Services.
13.2 No part of this Web Site is intended to constitute a contractual offer capable of acceptance.

Changes to the Service and these Terms and Conditions

Spilla Ltd reserves the right to change the Web Site, its Content or these Terms and Conditions at any time. There will be a notice on the Web Site to draw your attention to any changes and you will be bound by any changes to the Terms and Conditions from the first time you use the Web Site following the changes. If Spilla Ltd is required to make changes to Terms and Conditions relating to the sale of services by law, these changes will apply automatically to any orders currently pending in addition to any orders place by the User in the future.

Availability of the Web Site

Spilla Ltd accepts no liability for any disruption or non-availability of the Web Site resulting from external causes including, but not limited to, ISP equipment failure, host equipment failure, communications network failure, power failure, natural events, acts of war or legal restrictions and censorship.

16.

Limitation of Liability

16.1 To the maximum extent permitted by law, Spilla Ltd accepts no liability for any direct or indirect loss or damage, foreseeable or otherwise, including any indirect, consequential, special or exemplary damages arising from the use of the Web Site or any information contained therein. Users should be aware that they use the Web Site and its Contents at their own risk.
16. 2 Nothing in these Terms and Conditions excludes or restricts Spilla Ltd’s liability for death or personal injury resulting from any negligence or fraud on the part of Spilla Ltd.
16.3 Whilst every effort has been made to ensure that these Terms and Conditions adhere strictly with the relevant provisions of the Unfair Contract Terms Act 1977, in the event that any of these terms are found to be unlawful, invalid or otherwise unenforceable, that term is to be deemed severed from these Terms and Conditions and shall not affect the validity and enforceability of the remaining Terms and Conditions. This term shall apply only within jurisdictions where a particular term is illegal.

17.

Waiver

In the event that any party to these Terms and Conditions fails to exercise any right or remedy contained herein, this shall not be construed as a waiver of that right or remedy.

18.

Previous Terms and Conditions & Entire Agreement

In the event of any conflict between these Terms and Conditions and any prior versions thereof, the provisions of these Terms and Conditions shall prevail unless it is expressly stated otherwise. The Terms of this Agreement constitute the entire Agreement between you and Spilla Ltd and supersede all, if any, prior oral or written agreements, understandings, representations and warranties, course of conduct and dealings between you and Spilla Ltd. Except as otherwise provided herein, the terms of this agreement may be amended or varied only by prior mutual agreement in writing.

Notices

All notices/ communications shall be given to us either by post to Spilla Ltd, 14 St Leonard’s Road, Surbiton, Surrey, KT6 4DE or by email to info@becomingbridal.com. Such notice will be deemed received 3 days after posting if sent by first class post, the day of sending if the email is received in full on a business day and on the next business day if the email is sent on a weekend or public holiday.

20.

Law and Jurisdiction

These Terms and Conditions and the relationship between the User and Spilla Ltd shall be governed by and construed in accordance with the Law of England and Wales and Spilla Ltd and you agree to submit to the exclusive jurisdiction of the Courts of England and Wales for the resolution of any dispute or claim that might arise between you and Spilla Ltd under, arising from, or in connection with this agreement.
